企業是現代市場經濟中最基本的元素和行為主體，社會資源的配置和運用主要是通過企業來進行，企業的作用可說與社會中每一個體息息相關。企業的持續成長則需靠企業的創新來跳脫既有框架，企業尋求創新與發展的新思考方向，最直接、也最直覺的方式就是從其商業模式來進行創新，適時的修正其商業模式能順應市場趨勢免於被淘汰，並為企業帶來創新與獲利。

　　本文探討個案企業欲與其技術最關鍵材料供應商以企業合併方式進行合作，以發展一套創新與發展的概念架構為目的。經由文獻與個案的探索，以「企業的價值」與「營業收益利潤」作為構面，將企業轉型的商業模式分為四類，分別為「委託加工（OEM）」、「利基技術提供者」、「技術啟動者」與「解決方案提供者」，且深入探討個案企業進行合併後所修正擬訂之創新商業模式發展策略。

　　本研究希望以實例個案為研究對象，除瞭解成功的企業合併具有那些特性之外，結合商業模式分析理論，將其企業合併後的營運型態導向成一新商業模式，進而將其原本供應商之材料、技術甚至是知識經驗以企業合併後轉為內部知識資源，其創新後之商業模式不僅為個案公司營運帶來新的方向，也為該市場領域下了一新的註解。本研究更將其與市場區隔深入研究，並期望幫助面臨產業迅速變化的企業，找出一套能夠參考甚至依循的商業模式，有效提升企業獲利能力及延續企業經營發展。

Enterprise is the most fundamental element and subject in the modern market economy. The configuration and application of social resource is mainly carried out through the enterprise. The enterprise may work closely with each individual in society. Innovation can help enterprises get beyond the existing framework and grow continuously. Therefore, if an enterprise wants to seek new direction of thinking of innovation and development, the most direct and most intuitive way is to carry out its business model innovation. Moreover, timely adjusting its business model can survive in market trends and bring innovation and margin.

The purpose of this study is to develop an innovative framework through studying C Company merges with its key technology supplier. Based on literature and case studies, the transformed business model can be categorized by "Enterprise value" and "Business margin" dimensions, 4 categories are "Original equipment manufacturer (OEM)", "Niche technology provider", "Technology enabler" and "Solution provider", and meantime further study the innovative business model development strategy after the merger.

Through the study on C Company we can understand the features of successful merger. In reference to business model analysis theory, we can direct a new business model by the operation mode after merger. The innovative materials and technology provided by the supplier resulted in new knowledge and collaboration within the company. The innovative business model brings the enterprise in new direction of operation and redefines the market field. However the innovative business model also covers the market differentiation in this study. According to the results of the study, the innovative business model helps enterprises improve its profitability and sustainability.
