This thesis examines the regulatory boundaries of product appearance imitation under Taiwan’s Fair Trade Act, with particular emphasis on the division of application between Articles 22 and 25. In contemporary markets, especially those involving fast-moving consumer goods, health products, cosmetics, and other visually competitive products, packaging, color schemes, layout, graphic design, container shape, and overall visual presentation may serve as important transactional signals through which consumers identify product sources and form purchasing impressions. At the same time, legal protection of product appearance must remain consistent with the freedom of competition. Insufficient protection may allow competitors to appropriate market recognition and goodwill accumulated through another undertaking’s investment, while excessive protection may privatize common, functional, or competitively necessary design features. The central question is therefore not simply whether two products “look alike,” but when imitation of product appearance should be regarded as conduct warranting intervention under unfair competition law.
The thesis focuses on situations in which product appearance is unregistered, difficult to register, or cannot be promptly protected through conventional intellectual property regimes. It asks how Article 22, which protects well-known indicia against confusing use, and Article 25, the general clause against obviously unfair conduct capable of affecting trading order, should respectively operate in such disputes. The research adopts literature review, normative analysis, examination of administrative and judicial practice, and comparative legal analysis. It also refers to the U.S. trade dress regime under Section 43(a) of the Lanham Act, not for direct transplantation of foreign doctrine, but as a comparative framework for examining distinctiveness, secondary meaning, functionality, likelihood of confusion, evidentiary allocation, and the preservation of competitive freedom.
The thesis first clarifies that “indicia” under Article 22 should be understood functionally as market-recognizable signals capable of identifying commercial source. Product appearance may qualify as such indicia when a particular combination of visual elements has developed a stable source-identifying association in the relevant market. However, the claimed subject matter must be defined with sufficient precision. A claimant should not rely merely on an abstract allegation that the overall “style” or “feeling” of two products is similar. Instead, the claimed appearance should be identified through concrete elements and their relationships, such as color arrangements, layout, placement of graphics, information structure, typography, container form, and other recurring visual features. This requirement helps ensure objective examination and prevents the excessive monopolization of common design resources.
On this basis, the thesis argues that Articles 22 and 25 perform different regulatory functions. Article 22 follows a source-identification logic. Its protection is justified where the appearance has become a well-known source identifier and another party’s identical or similar use creates a likelihood of confusion as to source, affiliation, authorization, or commercial relationship. Relevant evidence may include duration and consistency of use, advertising exposure, sales and distribution coverage, third-party recognition, records of actual confusion, and the manner in which products are displayed or encountered by consumers. Likelihood of confusion should also be assessed in the actual transactional context, including product characteristics, purchasing methods, shelf display, e-commerce interfaces, and the expected degree of consumer attention.
Article 25, by contrast, should be understood as protecting trading order rather than functioning as a substitute source-identification right. It may address substantial copying, exploitation of another’s goodwill, free-riding, or other unfair methods that distort competitive conditions even where a conventional confusion claim cannot be fully established. Nevertheless, failure to satisfy Article 22 must not automatically lead to liability under Article 25. Otherwise, the general clause would become a second set of exclusive rights over product appearance and would circumvent the thresholds imposed by Article 22 and intellectual property law. Application of Article 25 therefore requires independently identifiable unfairness and a sufficiently concrete impact on trading order. Mere similarity, use of common visual elements, or resemblance in general style should not suffice. Stronger indications may arise where multiple non-functional details are closely reproduced in combination and such copying is accompanied by channel confusion, platform search displacement, consumer misidentification, misleading equivalence claims, or other observable effects on transactional decision-making.
A comparison of pre-2015 administrative enforcement and post-amendment judicial decisions further demonstrates a shift in the institutional setting of product appearance disputes. Earlier administrative practice was more directly concerned with imitation and commercial ethics, whereas post-amendment disputes have increasingly been resolved through civil litigation. The emerging judicial emphasis on proof of source-identifying significance and concrete harm to trading order helps constrain overbroad protection, but it also increases the evidentiary burden on parties. This development reinforces the need for clearer evidentiary categories and more transparent judicial reasoning.
The U.S. trade dress cases provide a useful methodological comparison. Two Pesos, Wal-Mart, and TrafFix illustrate a layered structure in which protectability is examined before confusion. Distinctiveness is addressed first, product design is generally required to acquire secondary meaning, and functional features are excluded from trade dress protection in order to preserve competition. The principal lesson for Taiwan is not to mechanically reproduce these doctrinal elements, but to separate analytically the questions of source identification, competitive necessity, confusion, and market-order harm. Such separation enables courts to explain more clearly why protection is granted or denied and what evidence is relevant to each stage of analysis.
The thesis therefore proposes a structured approach to product appearance imitation. Decision-makers should first define the claimed appearance and its identifying contours; next examine whether the claimed features are common, functional, or competitively necessary; then assess source-identifying significance and likelihood of confusion under Article 22; and, where the conduct presents a different type of competitive harm, separately consider Article 25 by requiring concrete proof of unfair methods and effects on trading order. The thesis further recommends clearer judicial distinction between lack of source identification and public-domain concerns, the development of more specific indicators for Article 25, standardized evidence-gathering practices, greater use of procedural mechanisms for obtaining channel or platform data, and proportionate remedies such as clearer differentiation, layout modification, or cessation of particular combinations rather than broad control over an entire visual design.
Ultimately, the legitimacy of protecting product appearance under the Fair Trade Act does not rest on treating appearance itself as an inherently exclusive asset. It rests on identifying the function performed by the appearance in the market and the type of competitive harm caused by imitation. By distinguishing the source-identification function of Article 22 from the trading-order function of Article 25, and by aligning each with corresponding evidentiary requirements and limiting principles, this thesis seeks to provide a more workable and predictable framework that preserves space for legitimate competition while responding to improper appropriation of market recognition, goodwill, or competitive advantage.
