近年來,關係人交易與企業性別多元化日益受到監管機關與學術界重視。關係人交易雖可提升效率,亦可能成為利益輸送管道;而女性治理者因具風險趨避與道德敏感特質,被視為有助於強化公司治理。基於此,本文探討女性CEO與董事對關係人交易之影響,特別聚焦於可能損及股東利益的異常關係人交易。本研究以2006至2023年台灣上市櫃公司為樣本,檢驗女性CEO及董事對關係人交易之抑制效果,並進一步分析董事性別比例門檻、女性CEO與董事交互作用及董事身分別之治理差異。結果顯示,女性CEO可顯著抑制整體與異常關係人交易,特別是銷貨與進貨等營運相關交易;女性董事比例越高,整體與異常關係人交易皆顯著下降,女性董事比例達三分之一時,雖可降低異常關係人交易總額,但對業外項目效果方向不同;女性CEO與董事交互作用有助於降低異常關係人交易總額,但兩者之協同治理受限於交易類型;女性一般董事較女性獨立董事具更強的異常關係人交易治理效果。本研究補足性別治理文獻於關係人交易議題之不足,並對董事結構設計與政策推動提供實證證據。
This study examines how gender diversity influences the monitoring of related party transactions using data from Taiwanese listed firms (2006–2023). Female chief executive officers (CEOs) significantly reduce both total and abnormal related party transactions, especially in operational transactions. A higher proportion of female directors is linked to fewer abnormal related party transactions, particularly when exceeding the one-third threshold. The interaction between female CEOs and directors shows limited significance, and regular female directors exhibit stronger governance effects than independents. These findings offer new insights into gender diversity and corporate governance.
