  • 本研究旨在探討法律背景CEO與盈餘品質之關聯性。過去文獻指出,有法律背景的CEO因熟悉法律,可能會利用法律的灰色地帶或漏洞進行盈餘管理,從而增加盈餘管理的機會;但也可能這些CEO有較高的訴訟風險意識,會減少盈餘管理的誘因。因此,本研究預期有法律背景的CEO會影響盈餘品質。本文選擇台灣證券市場上市公司並排除金融相關產業,以2017至2022年期間之資料作為樣本進行實證測試,實證結果發現有法律背景的CEO會降低公司的盈餘品質。進一步以橫斷面測試公司規模較小、家族企業以及股份盈餘偏離差較大的情況下,具有法律背景的CEO對盈餘品質的負面影響更為明顯。

    The purpose of this study is to explore the association between CEOs with legal expertise and earnings quality. Previous literature suggests that CEOs with legal expertise may exploit the gray areas or loopholes of the law for earnings management, thus increasing the opportunities for such practices; however, these CEOs might also possess a heightened awareness of litigation risks, which could deter them from engaging in earnings management. Consequently, this study hypothesizes that CEOs with legal expertise impact earnings quality. The study selects non-financial public companies from the Taiwan stock market, using data from 2017 to 2022 for empirical testing. The empirical results indicate that CEOs with legal expertise reduce the quality of earnings. Further cross-sectional tests reveal that in smaller companies, family-owned enterprises, and cases where there is a larger deviation between cash flow right and control right, the negative impact of legal-background CEOs on earnings quality is more pronounced.
