有別於傳統國際企業成長是以漸進式程序為主要成長架購,利用時間的累積厚植企業的競爭優勢;今時今日,在面對日趨激烈的國際化競爭時,現今的企業在規劃該以何種策略模式以取得需填補資源以達到策略願景時,會直接面臨新創事業或是購併的抉擇。相對於其他國際市場進入模式,購併的時間效益、可以帶來的確定性較高的資源,被視為最能夠有效率的補強企業競爭力的策略行動。本研究以世芥蘭業股份有限公司購併位於丹麥的下游廠商Helios公司的個案,來探討在蝴蝶蘭產業間,進行此宗國際購併案的背後動機,以及世芥蘭業公司可以從此購併案獲得何種效益以達到策略願景的目的。本研究著重於以資源能耐作為競爭的基礎,以企業的策略願景為方向,辨識出企業必須設法填補的資源為何,再分析出不同的策略方案,從其中選擇一最適切方案做為策略行動,而購併是策略行動的一個選擇,非必要選項。 本研究分析出世芥蘭業採取購併作為策略方案的動機及預期效益為 :
一、策略願景
二、市場動機以達到市場規模
三、綜效動機以取得互補性資源
四、能耐動機以獲得競爭性能耐
It’s unlike the old-style international enterprises to utilize the incremental procedures as the main developing frame and to strengthen the business competition as time accumulates, at the present time, while the international competition becomes sharp day by day, in order to reach the perspective, the current enterprises will need to confront with the decisions in whether forming a new business or merging with others directly while coming up with the strategy to obtain the supportive supplies they need. In contrast with the way other international markets enter in, the time efficiency and the ability of bringing more reliable resources for the merge and acquisition (M & A) are regarded as the most efficient strategic action in strengthening the business competition. In this study, we will take the case of Sogo Team Co., Ltd. (世芥蘭業股份有限公司) merged with its downstream factory, Helios, in Denmark as an example to explore its motivation in doing this international M&A between the phalaenopsis orchid industries and what benefits that Sogo Team Co., Ltd. can get in from this M & A case to reach strategic its perspective. The emphases on this study are on the basis of competition in the resource capability, use business strategic perspective as a guide, recognize which resources we should manage to fill up, analyze and find out the different strategic schemes from the resources we recognized and choose a proper scheme from them as our strategic action. M & A is one of strategic action choices, not a necessary one.
This study finds the motivations and expectative benefits in why Sogo Team Co., Ltd takes M & A as a strategic scheme. They are as follows:

3. Synergistic motivation to get complementary resources
4. Capability motivation to get competitive capabilities
