運用併購手段以追求企業高度成長儼然成為一個趨勢,但是許多研究結果卻顯示很多併購案都不能達到預期的目標,即便如此,依然有許多企業願意嘗試,在國內企業併購中,關於併購策略及整合機制方面研究較少,因此本研究將針對此議題進行探討,期許能找出影響企業併購最佳的策略及整合機制對組織績效之參考,以降低企業併購的失敗率。
企業併購後的整合管理所牽涉及引發的問題極廣,幾乎涵蓋整個管理領域。本研究將透過理論探討並配合個案訪談及實證調查分析來進行,藉以瞭解國內(金屬代工之中小型企業)併購的相關議題。本研究首先針對個案公司的全體員工做紙本問卷,旨在探討併購策略、整合機制與績效之間的關係,除此之外,本研究並嘗試在問卷之後透過與個案公司員工、主管的訪談去瞭解更深入的關係。
研究結果發現,不確定性與併購的績效較有影響,反而跟整合機制沒有相關,溝通是併購策略中最為有效的方法,人力資源的健全程度會影響整合的程度,但是對於公司資訊系統的整合沒有很一致的概念,所以公司在資訊系統的推廣上還需要加強,並且在最後提出對個案公司以及研究上的建議。
It becomes a tendency for using mergers and acquisitions to make companies grow fast, even if more studies demonstrate that many mergers and acquisitions could not be able to achieve the anticipated goal.Still ,many enterprises are willing to attempt to implement merger and acquisition way. Survey merger and acquisition action in domestic enterprises, few studies discuss about the merger and acquisition strategy and the integration mechanisms. Therefore, the researcher aims at this subject to carry on the discussion and hope the result can discover the best strategy of influence at merger and acquisition and the integration mechanisms of the post-merger performance in order to reduce the failure rate of the merger and acquisition in the enterprises.
It is extremely broad works in integration management for companies after merger and acquisition, even nearly covering entire management domain. The research tries to survey the theory to discuss and to coordinate the case interviews in order to understand the merger and acquisition related subject in a metal generation of small business. First, the research aims at all staff of the case company to make the paper questionnaires to collect their thinking. We try to know the relations between the merger and acquisition strategy, the integration mechanism and post-merger performance. Besides, after the questionnaires, we have meetings with managers of the company and customers in order to understand more thorough relations.
As a result, we discover that uncertainties are more influential with the post-merger performance than integration mechanisms. Communication is the most effective method in the merger and acquisition strategy, the degree of human resources' practices will affect the degree of the integrate, but there are not very consistent concept for the cognition of company information system, therefore, the company needs to strengthen in the information system, finally, we try to statement suggestion for the case company as well as the research.
