近期虛擬資產如比特幣、以太幣等價格飛漲，吸引不少投資人及資金湧入，相關產業迅速發展，儼然成為金融市場中不可忽視的新興力量，自比特幣問世以來，國際間之監管重點主要聚焦於洗錢防制及打擊資恐，然而，隨著市場規模擴大，對虛擬資產服務提供商監管也逐漸受到重視，其中作為虛擬資產交易基礎之中心化交易平台，因提供簡潔介面、服務及便利性，吸引不少用戶，近年詐騙、洗錢、倒閉等問題頻繁出現，特別是FTX交易平台的破產事件尤具代表性，造成市場及投資人重大損失，也顯現出中心化交易平台在風險控管及監理上的重大缺口，各國監管機構及國際組織針對虛擬資產相關研究及規範，亦自洗錢防制、不法犯罪資助面向，擴及至對整體行業規範架構。
虛擬資產交易平台作為虛擬資產產業之基礎設施，各式問題的頻傳，不僅削弱市場及投資人的信任，同時也顯現監管單位及法制之不足。在比特幣價格屢創新高及市場參與者持續增加的情形下，我國金融監督管理委員會雖對虛擬資產持審慎態度，但在國際競爭與金融科技快速發展的背景下，若未能及時建構完善監管制度，恐將影響我國金融競爭力與產業發展。
本文將以中心化虛擬資產交易平台為研究核心，透過分析主流虛擬資產之發展及國內外監管實務，並透過過往各平台案例，探討現行制度所面臨之挑戰及不足之處，同時比較外國法制規範及產業趨勢，提出可供我國借鏡之方向，期望在兼顧金融創新、投資者保護與公共利益的前提下，建構合理且有效之監管架構，為我國虛擬資產產業之健全發展提供完善的法律基礎。

Propelled by the surging prices of virtual assets like BTC and ETH, which have drawn substantial investment and capital, the related industry has rapidly evolved into an indispensable emerging force within the financial market. However, this rapid expansion has exposed critical deficiencies in risk control within centralized trading platforms. The FTX bankruptcy notably highlighted the current system’s shortcomings in investor protection.The core focus of this research is on these centralized virtual asset trading platforms. We argue that the scope of regulation must expand beyond traditional Anti-Money Laundering and Countering the Financing of Terrorism to establish a comprehensive framework for the entire industry. This research focuses on centralized virtual asset trading platforms, analyzing the development of mainstream virtual assets alongside domestic and international regulatory practices. Facing international competition and rapid market evolution, our nation must draw lessons from foreign practices to promptly establish a reasonable and effective regulatory system. Through a comparative analysis of foreign legal frameworks and industrial trends, the ultimate goal is to provide a sound legal foundation for the healthy development of our virtual asset industry, all while balances financial innovation, investor protection, and public interest, aiming to provide a solid legal foundation for the sound development of the domestic virtual asset industry.
