在1991年到2000年，越南被評論為十年來經濟成長最穩固之國家，年平均經濟成長率為7.56%。雖然在1997年發生了亞洲金融危機，越南因嚴格的金融壓抑與外匯兌換限制而減小了傷害，不過其依賴發展途徑所帶來的金融體系與國營企業問題，與受害較深的泰國、印尼、馬來西亞比較起來仍頗為相似。
雖然越南在1986年就已朝資本主義市場經濟修正，不過國家機關在顧忌政治自由化會影響黨的獨大威權下，始終不敢全力投入改革。在1990年代中期，有許多外國投資者著眼於越南政治安定、勞動力低廉充沛而蜂擁進入越南，在國家機關與國際資本與國內資本的合作下，使得越南高度成長，在享受高度成長的同時，改革的步調緩了下來，高度成長掩蓋了內部結構的問題，但1997年爆發的亞洲金融危機使得投資者認清了越南金融體系的脆弱與國家機關的因循，結果便是1998年與1999年的外人直接投資的大量減少，也使越南在這兩年的經濟成長率下滑，越南政府終於覺悟到該是加速與深化改革的時候了。
本論文旨在觀察分析越南的依賴發展與金融改革的過程，越南採行發展勞力密集的出口導向策略，配合積極吸引國際資本前來投資，經濟結構已逐漸轉換為工業化國家，而經濟也有著高度成長。而越南在金融體系的主要問題便是人民信心不足與國內存款流動性過低與信用管道缺乏，尤其是必須同時進行的國營企業重整速度緩慢，恐將金融改革的成果再度拖垮。越南政府自亞洲金融危機改善了之前因循的態度，開始重視對金融體系的許諾，除了加緊健全銀行與國營企業體質外，也陸續開放了股市、外匯限制、外資限制等相關的金融自由化。

Because of its yearly 7.56% average GDP growth rate, Vietnam had been seen as the most stably growing country from 1991 to 2000. Although Asian financial crisis exploded in 1997, financial repression and exchange regulation in Vietnam prevented its economy from damage in the crisis. But problems of financial system and state-owned enterprises in Vietnam were as similar as Thailand, Indonesia and Malaysia that suffering serious damage in Asian financial crisis.
Vietnam started to transfer to market economy in 1986, but the communist party scrupled politic liberalization would affect the power of the party and afraid to exert itself to reform. There were many foreign investors entering in mid-1990s stressing on politic stabilization and sufficient cheap labor in Vietnam. Cooperation of state, domestic capital and international capital prompted Vietnam economy keeping in rapid growth for years. However, high growth covered interior structural problems and caused reform process slow down. Asian financial crisis shocked investors to recognize weakness of financial system in Vietnam. FDI decreased a lot in 1998 and 1999 that forced Vietnam government to expedite and deepen its reform.
This paper focuses on the analysis of dependent development and financial reform in Vietnam. Vietnam had developed export-orientation industries of labor intensive, cooperating with active attracting international capital. Its economic structure has transferred to industrial country gradually with high growth rate. But there are still some serious problems. Main problems in financial system are inadequate public confidence, low saving mobilization and lack of credit channel. Especially slow reorganization of state-owned enterprises could destroy the result of financial reform. After Asian financial crisis, Vietnam government changed its careless attitude and emphasized on strengthening soundness of bank system and state-owned enterprises. There are also many relative deregulation of stock market, exchange control and external capital.
