  • 本研究旨在探討財務長(以下簡稱CFO)兼任同一公司董事對審計公費之影響。近來監管機構大多強調董事會獨立性以強化監督功能,然而獨立董事普遍面臨內部資訊取得困難之限制。兼任董事之CFO憑藉其資訊優勢及財務專業,可能改善董事會決策效率及財報品質,使會計師評估較低之風險,收取較低的審計公費,亦可能因權力集中引發舞弊風險,提高會計師要求之公費。本文利用2006至2019年間美國S&P 1500公司資料進行實證分析結果發現,CFO兼任董事對審計公費產生顯著負向影響,代表會計師傾向將CFO兼任董事視為降低風險之治理訊號,收取較低之審計公費。橫斷面分析顯示,該負向關聯僅存在於在營運風險高與應計項目高的公司中,代表CFO兼任董事之治理效果在高風險情境下更受會計師重視。在控制CEO特徵後,研究結果仍具穩健性,惟統計顯著性略為下降。本研究貢獻包括:補足外部風險評估者對CFO兼任董事職位看法之文獻缺口、結合治理結構與管理者經驗特性拓展了審計公費決定因素,並且可提供董事會組成彈性調整之實證參考。

    This study examines whether Chief Financial Officers (CFOs) serving on boards affect audit fees. While regulatory reforms emphasize board independence to strengthen monitoring, independent directors often have limited access to internal information. CFOs on boards may improve board decision-making and reporting quality through financial expertise and informational advantage. This may lower auditors’ risk assessments and audit fees. Conversely, their dual role may raise concerns about power concentration and potential fraud, increasing audit fees. Using a sample of S&P 1500 firms from 2006 to 2019, this study finds a significant negative association between CFO board membership and audit fees. This may suggest that auditors view CFO board membership as a governance signal that reduces audit risk. Cross-sectional analysis shows that this negative relationship appears only in firms with high business risk and high accruals. These findings may reflect that, in riskier corporate conditions, auditors place greater value on CFO board membership. The results remain robust after controlling for CEO characteristics, though statistical significance weakens slightly. This study fills a gap in how external risk assessors interpret CFO board membership. It also connects corporate governance with managerial experience characteristics in explaining audit pricing. The findings offer practical implications for board structure design.
