本研究引用交易成本理論,探討成立聯盟初期的交易成本決定因子包括資產專屬性、環境不確定性及夥伴關係不確定性對於參與聯盟公司績效之影響。此外,過去學者提出聯盟型態對於聯盟的績效扮演著重要的角色,因此本研究將聯盟型態視為中介變數加以納入研究架構中,盼提供企業決策者更完整的決策參考因素。
本研究由文獻彙整出二類重要的聯盟型態,一為股權聯盟與非股權聯盟,二為垂直或水平聯盟。並推論聯盟之交易成本因子與不同型態,將會影響參與聯盟公司的績效。本研究蒐集次級資料,以1998至2002年間由美國公司所形成的跨國聯盟為樣本,最後以迴歸檢定研究假說是否成立。
實證結果分析得知,不同的交易成本因子對於公司績效的影響不同。研發型的專屬資產對於績效為負向影響;行銷型的專屬資產則對公司的績效有正向效果。環境不確定性會削弱績效表現,而夥伴關係的不確定性則對績效有正面影響。至於聯盟型態的中介效果,實證結果發現在高資產專屬性時,採用垂直聯盟型態的公司表現會較水平聯盟好;而有股權的聯盟型態則能較有效地抑制環境不確定性帶來的風險
The purpose of this thesis is to understand how transaction cost determinants (asset specificity, environmental uncertainty, and relationship uncertainty) affect the performance of firms participating in international strategic alliances (ISAs), and how alliance types (equity-versus-non-equity and horizontal-versus-vertical) play moderating roles in the relationships. To answer these questions, I drew a sample of ISAs formed by US firms from SDC database to empirically test my hypotheses.
Empirical results find that marketing-related specific assets have a positive influence on ISA participating firms’ performance while R&D-related specific assets have a negative impact. Meanwhile, under high asset specificity, firms adopting vertical ISAs are more likely to generate better performance.
As for uncertainty, environmental uncertainty is found to jeopardize allying firms’ performance; nevertheless, forming equity alliances helps mitigate the negative effect. Interestingly, allying firms facing relationship uncertainty are more likely to have better financial performance than those who have collaborative experience with partners before.
